1. Introduction
Welcome to Theorema. These Terms of Service ("Terms") govern your access to and use of the website at theorema.ai, the Theorema platform, APIs, and all related services (collectively, the "Services") provided by Theorema AI, Inc., a company incorporated under the laws of the State of Delaware, with its principal place of business at 838 Walker Road, Suite 21-2, Dover, DE 19904, United States ("Theorema", "we", "us", or "our").
By accessing or using the Services, you agree to be bound by these Terms and acknowledge that you have read our Privacy Policy. If you do not agree to these Terms, do not use the Services.
If your use of the Services is governed by a separate signed agreement with Theorema, that agreement controls where it conflicts with these Terms.
2. Who Can Use the Services
Minimum Age. You must be at least 18 years old to use the Services.
Access Restriction. The Services are intended for professional use by organizations, research teams, and individual researchers. Theorema reserves the right to refuse access to any individual or entity at its sole discretion. Access is granted only via invitation or under a separate commercial agreement.
Assumption of Risk. By using the Services, you acknowledge that the Services are under active development, that outputs are AI-generated and may be inaccurate, and that you accept full responsibility for any decisions, actions, or consequences arising from your use of the Services or reliance on any outputs.
Authority. If you are using the Services on behalf of an organization, you represent that you have the legal authority to bind that organization to these Terms. "You" and "your" refer to both you individually and the organization you represent.
Account. To access the platform, you must create an account with accurate and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at team@theorema.ai if you suspect unauthorized access.
3. The Services
What We Provide. Theorema is an AI-powered platform for autonomous scientific research and development. The Services include AI agents that analyze data, review literature, propose experiments, and generate research outputs across a broad range of scientific and industrial domains.
Service Development. The Services are under active development. Features may be changed, added, or removed, and we may modify, suspend, or discontinue any part of the Services at any time with reasonable notice where practicable.
AI-Generated Outputs. The Services generate outputs using artificial intelligence. Outputs do not represent Theorema's views or recommendations. You are solely responsible for evaluating, validating, and verifying all outputs before relying on them for any purpose, including research decisions, experimental design, regulatory submissions, or commercial activities.
Third-Party Services. The Services may integrate with or rely on third-party services. Theorema is not responsible for the availability, accuracy, or practices of any third-party service.
4. Data Ownership and Intellectual Property
Your Data. You retain all right, title, and interest in any data, datasets, and files you upload to the Services ("Customer Data"). Nothing in these Terms transfers ownership of your data to Theorema.
Your Outputs. As between you and Theorema, you own all right, title, and interest in the outputs generated by the Services from your Customer Data ("Outputs"). You grant Theorema a non-exclusive, royalty-free license to use, copy, store, modify, and display your Customer Data and Outputs to (i) maintain and provide the Services, and (ii) enhance, train, and improve our products and the Services, except to the extent that you opt out through your account settings or by contacting team@theorema.ai. Even if you opt out, we may use your content for model improvement when (1) you provide feedback regarding any content, or (2) your content is flagged for safety review. You acknowledge that AI-generated outputs may be similar to outputs independently generated for other users who provide similar inputs.
Usage Data. Prompts, queries, instructions, chat history, and technical data generated during your use of the Services, including performance metrics, error logs, and usage patterns ("Usage Data"). The same opt-out described above applies to Usage Data.
Feedback. If you voluntarily provide feedback, suggestions, or bug reports, you hereby assign to Theorema all rights in and to such feedback without restriction or compensation to you. You have no obligation to provide feedback.
Our IP. Theorema retains all right, title, and interest in the Services, including all underlying technology, algorithms, models, software, and documentation. These Terms do not grant you any rights to our intellectual property except the limited right to access and use the Services as described here.
Improvements. Notwithstanding the ownership of Outputs, Theorema retains all rights to any improvements to the Services, including generic workflows, reasoning methods, and non-customer-specific model adjustments, discovered or developed during the provision of the Services, provided such improvements do not incorporate Customer Data.
5. Acceptable Use
You agree not to use the Services in any way that:
- violates any applicable law or regulation;
- infringes or misappropriates any third party's intellectual property, privacy, or other rights;
- uploads data you do not have the right to process through the Services;
- attempts to reverse engineer, decompile, disassemble, or extract source code from the Services;
- attempts to circumvent any security measures, access controls, or usage limits;
- interferes with or disrupts the Services or their infrastructure;
- uses the Services to develop a competing product or service; or
- permits any third party to do any of the foregoing.
We reserve the right to suspend or terminate your access if you violate these Terms or if we reasonably believe your use poses a risk to the Services or to other users.
6. Payments
Access to certain aspects of the Services may require payment. Pricing, billing terms, and payment conditions are governed by the applicable order form, subscription agreement, or other commercial terms agreed between you and Theorema. We reserve the right to introduce or modify pricing with reasonable advance notice.
7. Disclaimers
As-Is. The Services are provided "as is" and "as available." To the maximum extent permitted by applicable law, Theorema disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, availability, and non-infringement.
No Uptime Guarantee. We do not guarantee any level of availability, uptime, or performance.
8. Limitation of Liability
Exclusion of Consequential Damages. To the maximum extent permitted by applicable law, neither party will be liable to the other for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to these Terms, regardless of the theory of liability and even if advised of the possibility of such damages.
Liability Cap. To the maximum extent permitted by applicable law, Theorema's total aggregate liability arising out of or related to these Terms will not exceed the total amounts paid by you to Theorema in the 12 months preceding the claim.
The limitations in this Section apply to the maximum extent permitted by applicable law.
9. Indemnification
You will indemnify, defend, and hold harmless Theorema from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from (a) your breach of these Terms, (b) your Customer Data, including any claim that your data infringes or misappropriates a third party's rights, or (c) your use of the Services in violation of applicable law.
10. Term and Termination
Term. These Terms are effective when you first access or use the Services and remain in effect until terminated.
Termination by You. You may stop using the Services and close your account at any time by contacting team@theorema.ai.
Termination by Us. We may suspend or terminate your access at any time, with or without cause, upon notice to you. We will endeavor to provide reasonable notice except where immediate action is necessary (e.g., security incidents, legal requirements, or Terms violations). Where a separate signed agreement between you and Theorema governs termination, that agreement takes precedence over this Section.
Effect of Termination. Upon termination, your right to access the Services ceases immediately. Sections 4 (Data Ownership and IP), 7 (Disclaimers), 8 (Limitation of Liability), 9 (Indemnification), and 11 (General) survive termination.
11. General
Entire Agreement. These Terms, together with the Privacy Policy and any separate signed agreement between you and Theorema, constitute the entire agreement regarding the Services. In the event of conflict, a signed agreement takes precedence over these Terms.
Amendments. We may update these Terms from time to time. We will notify you of material changes by email or through the Services a reasonable time before they take effect. Your continued use of the Services after the updated Terms take effect constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Services.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
No Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Notices. We may send notices to the email address associated with your account. You may send notices to team@theorema.ai.
Force Majeure. Neither party will be liable for failure or delay in performance due to circumstances beyond its reasonable control.
Publicity. Where you use the Services on behalf of an organization or institution, Theorema may use the name and logo of that organization or institution to identify it as a Theorema customer on our website and in marketing materials. You may opt out at any time by contacting team@theorema.ai.
